These are the terms and conditions (“Terms”) of the lead engagement challenge campaign (“Campaign”) provided by Nord Security Inc., principal office at Americas Towers,1177 6th Avenue, 5th FLR New York, NY 10020, United States of America (“we”, “our”, “us” or “Nord”). By submitting a valid lead through the designated lead submission form at nordlayer.com/book-a-demo (“Form”) to get $50 Amazon.com Gift Card you confirm having read, understood and agreed to these Terms.

Campaign Period

The Campaign will run from 1 March 2024 to 31 May 2024 (“Period”). Entries submitted via Form before or after this Period will not be eligible for participation.

Eligibility

To be eligible for the discount, an organization must within the Period and following these Terms:

1. not have an ongoing subscription to NordLayer;
2. not be a competitor of Nord;
3. successfully submit a valid lead through the Form, ensuring that all required fields are fully and accurately filled and/or completed;
4. if contacted by Nord, to be qualified for a Demo call - be responsive throughout the Period and provide Nord with all required information via investigation emails or calls;
5. successfully join and participate in a scheduled Demo call with Nord.
6. campaign is applicable only to companies from 11 employees.
   
   

Representative filling the Form and communicating with Nord on behalf of the organization must be, and, therefore, hereby confirms, represents, and warrants to Nord that:

1. s/he is at least 18 years old and is a legit representative of that organization s/he provides information on to Nord;
2. s/he and the organization s/he represents (“They”) are not direct or secondary target of any sanctions administered by the Office of Foreign Control of the U.S. Department of the Treasury ("OFAC"), the U.S. Department of State, the United Nations Security Council, the European Union, Her Majesty's Treasury of the United Kingdom, or other relevant sanctions authority (collectively, “Sanctions”), nor They are located, organized, or resident in a country or region that alone or in correlation with other factors makes Them subject or target of Sanctions, including, without limitation, Crimea, Cuba, Iran, North Korea and Syria.
   
   

Despite the above, Nord reserves the right not to engage and schedule any Demo call with any organization or its representative(s) if it deems, at its sole discretion, that doing so would not be in Nord's best interest. Nord is not obligated to disclose the reasons for such decisions.

Prize

Campaign prize to each organization that within the Period fully meets all eligibility criteria will be $50 Amazon.com Gift Card (“Prize”). Details to claim a Prize will be sent to the email provided in the Form within a commercially reasonable time after the completed Demo call.

Please consult all the terms and conditions applicable to the Prize, including but not limited to, those provided at amazon.com/gc-legal. Do not participate in the Campaign or claim your Prize if you do not agree with any applicable conditions.

Nord reserves the right to award with a Prize from any official Amazon.com website regardless of the locations or Amazon.com markets the Prize can be used at. Nord makes no representations or warranties related to the Amazon.com Gift Cards, including but not limited to, that they will be relevant, possible to claim and use.

If the representative and/or organization is not contacted or Demo call is not scheduled for any reason, Nord is not obligated to award any Prize.

Privacy

Participation in the Campaign might require to submit personal information (full name, business email address, phone (optional), and the name and size of the company the referrer represents) so that Nord could contact with regards to 1) investigation emails and/or calls, and arranging Demo call; and 2) provision of the Prize. The personal information collected, processed, and used as part of the Campaign will be used in accordance with Nord's Privacy Policy which is available at https://nordlayer.com/privacy-policy/ (“Privacy Policy”).

Before submitting any information in the Form or to Nord by any means, any referrer shall make sure any such disclosure does not contain any personally and commercially sensitive data, is in line with and does not breach any applicable privacy laws, fair competition rules, third persons’ rights, confidentiality and non-disclosure obligations and any other legal requirements and public or private interests. The referrer shall not make any disclosures if that is not in line with any of the aforementioned legal requirements or public and private interests.

Any participant of the campaign wishing to exercise their rights under applicable data protection legislation may refer to the procedures outlined in our Privacy Policy for guidance on submitting requests for communication cessation and/or deletion of personal data.

General conditions

Organizations may not fill the Form with multiple or fake email addresses or accounts, use fictitious identities to participate in the Campaign or receive the Prize. Nord reserves the right to disqualify any participant from the Campaign or withhold the Prize if it believes, at its sole discretion, that the participant has attempted to compromise the Campaign's fairness, integrity, or proper conduct through cheating, hacking, deception, or other unfair practices, or if the participant has breached these Terms in any manner.

Nord may revise, modify, extend, or cancel this Campaign without any reason or liability. The most recent version will be posted on nordlayer.com/terms-and-conditions-amazon-campaign. Revised Terms, if not stated otherwise, will become effective from the day they are updated.

If not explicitly provided by Nord otherwise, these Terms shall have prejudice before all the other marketing materials and otherwise provided information regarding the Campaign.

Organizations hold the sole responsibility to ensure their own Internet access and technical systems’ proper functioning to participate in this Campaign and use the Prize. Nord shall not have the obligation to review eligibility in case any Organization was for any reason unable to anyhow participate in this Campaign, meet any eligibility criteria or claim/use the Prize.

Limitation of liability

NEITHER NORD NOR ANY OF ITS PARENTS, SUBSIDIARIES OR AFFILIATES, NOR ANY OF THEIR EMPLOYEES, REPRESENTATIVES, OFFICERS OR DIRECTORS, SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR OTHER DAMAGES ARISING OUT OF OR IN ANY WAY RELATED TO THESE TERMS OR CAMPAIGN DESCRIBED HEREIN, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAWS, IN ANY CASE, THE LIABILITY OF NORD SHALL NOT EXCEED 50 DOLLARS AND SHALL NOT INCLUDE ATTORNEY FEES OR COURT COSTS.

Disputes

The parties shall endeavor in good faith to resolve any dispute, claim, controversy, or disagreement relating to or arising out of these Terms, or the subject matter of these Terms (“Dispute”), by negotiation. Any Dispute which remains unresolved for 30 (thirty) days after either party gives written notice of the existence of such Dispute, may be referred for final resolution by the competent courts of England and Wales in London, United Kingdom. The proceedings shall be held in the English language. The parties agree that these Terms will be governed by the laws of England and Wales.

Where permitted under the applicable law, class action lawsuits, class-wide arbitrations, private attorney-general actions, and any other proceeding where someone acts in such a representative capacity are not allowed. Unless both parties agree, no arbitrator or judge may consolidate more than one Organization’s claims or otherwise preside over any form of a representative or class proceeding.
